Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Participant," "you," or "your") and Verticode Inc. ("Company," "we," "us," or "our"), governing your access to and use of the website ampslive.com, the AMPS Coaching Program, and all related products, services, traffic, tools, and materials. By purchasing, enrolling in, accessing, or using any of our services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms in their entirety.

1. Eligibility

You must be at least 18 years of age and legally able to enter into binding agreements to use our services. By purchasing or enrolling, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

2. Program Description

The AMPS Coaching Program is a 6-week educational coaching program that includes live webinar sessions, mentorship, done-for-you system setup, traffic allocation, and access to a private members area. The program is designed to teach participants digital marketing strategies using mobile traffic. Specific deliverables are outlined on the enrollment page at the time of purchase. The Company reserves the right to modify program content, schedules, traffic sources, tools, and delivery methods at its sole discretion to improve the program or adapt to changing market conditions.

3. RESULTS DISCLAIMER — NO GUARANTEE OF INCOME OR EARNINGS

THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. BY ENROLLING IN THE AMPS COACHING PROGRAM, YOU EXPRESSLY ACKNOWLEDGE AND AGREE TO ALL OF THE FOLLOWING:

No Guaranteed Results. Verticode Inc. makes absolutely no guarantees, representations, or warranties — express or implied — regarding income, earnings, revenue, profits, or any specific financial outcome from your participation in the AMPS Coaching Program. Any income figures, earnings examples, revenue projections, or financial results referenced on our website, in our marketing materials, in webinars, during coaching sessions, or in any other communication are strictly illustrative and are not promises or guarantees of what you will earn.
Results May Vary — Significantly. Individual results differ dramatically from person to person. Some participants may earn substantial income; others may earn little or nothing; and some participants may lose money. There is no "typical" result. Your results will depend entirely on factors including but not limited to: your effort, dedication, and time commitment; your ability to follow instructions and implement strategies; your prior experience and technical skill; market conditions, competition, and advertising platform policies; traffic quality and availability; offer performance and advertiser payout rates; your geographic location; and many other factors entirely beyond the control of Verticode Inc.
Past Performance Is Not Indicative of Future Results. Any examples of past earnings, whether from the Company, its coaches, or other participants, are not indicative of future performance and should not be relied upon as a prediction of what you will achieve. Market conditions, advertising policies, traffic availability, and offer payouts can and do change at any time without notice.
Testimonials and Case Studies. Any testimonials, screenshots, case studies, or success stories shared by Verticode Inc. or its participants represent the individual experiences of those specific people. They are not intended as a representation of typical or expected results. Testimonial participants may have had prior experience, different resources, more favorable market timing, or other advantages that contributed to their results. You should not rely on anyone else's results as an indication of what you will achieve.
Earnings Depend on You. The AMPS Coaching Program provides education, mentorship, tools, traffic, and system setup. What you do with these resources — and the results you achieve — is entirely your responsibility. We cannot control how you implement the strategies, how much time and effort you dedicate, or how market conditions will affect your specific campaigns.
Forward-Looking Statements. Any statements regarding potential earnings, future performance, projected revenue, or estimated income are forward-looking statements based on current assumptions and expectations. Actual results may differ materially. The Company has no obligation to update or revise any forward-looking statements.
You Accept Full Responsibility. By enrolling, you acknowledge that you are entering into a business endeavor that involves inherent risk, including the risk of financial loss. You accept full and sole responsibility for your own business decisions, actions, and financial outcomes. You will not hold Verticode Inc. or any of its owners, coaches, employees, contractors, or affiliates liable for any results — or lack of results — you experience.

4. Assumption of Risk

You acknowledge that digital marketing, affiliate marketing, and performance advertising are inherently risky business activities. You understand and agree that:

There is no guarantee that any campaign, traffic source, landing page, or offer will be profitable.
Advertising platforms may change their rules, suspend accounts, or restrict traffic at any time without notice, which may directly impact your campaigns and income.
Affiliate networks and advertisers may change payout rates, pause offers, or terminate partnerships at any time.
Traffic quality, conversion rates, and earnings per click fluctuate based on market forces beyond anyone's control.
Technology failures, tracking discrepancies, and third-party service outages may affect campaign performance.
You should never invest money you cannot afford to lose in any business venture, including this one.

By enrolling, you assume all risks associated with your participation in the program and any business activities undertaken as a result.

5. Payment Terms

All prices are listed in United States Dollars (USD) unless otherwise stated.
Payment is due in full at the time of enrollment unless a payment plan is explicitly offered and selected.
We accept bank wire transfers, Zelle, cryptocurrency (USDC), and PayPal. PayPal transactions are subject to a 15% service fee.
You are responsible for any bank fees, wire transfer fees, or currency conversion charges associated with your payment.
Failure to complete agreed-upon payment plan installments may result in suspension of access until payments are brought current.

6. Refund Policy

All payments are final and non-refundable under any circumstances. This includes coaching fees, traffic purchases, upsells, and any additional services. By completing your purchase, you acknowledge and agree to this no-refund policy. Specifically:

Traffic purchases are non-refundable once clicks have been allocated or delivery has commenced.
Coaching fees are non-refundable regardless of attendance or participation level.
Dissatisfaction with results, earnings, or program content does not constitute grounds for a refund.
Filing a chargeback or payment dispute after agreeing to these Terms constitutes a breach of this agreement. You agree that in the event of a chargeback or payment dispute, you shall be liable for the original payment amount plus all associated fees, costs, and damages incurred by Verticode Inc., including but not limited to chargeback fees, administrative costs, and legal fees.

7. Intellectual Property

All content, materials, recordings, templates, scripts, landing pages, strategies, and systems provided through the AMPS Coaching Program are the proprietary property of Verticode Inc. and are protected by copyright and intellectual property laws. You may not:

Copy, reproduce, distribute, or share any program materials with third parties.
Record, screenshot, or redistribute webinar sessions or training content.
Resell, sublicense, or commercially exploit any materials provided.
Use our proprietary methods to create competing products or services.
Reverse engineer, decompile, or attempt to extract the source code or logic of any scripts, tools, or software provided.

Violation of this section may result in immediate termination of access without refund and legal action for damages.

8. Access and Account

Access to the AMPS Coaching Program, members area, and all associated materials is limited to the registered participant only. Sharing login credentials or granting unauthorized access to third parties is strictly prohibited and may result in immediate termination of access without refund.

9. Traffic and Clicks

Traffic allocations (clicks) included in the program or purchased as upgrades are delivered through our designated traffic sources on a best-effort basis. You acknowledge and agree that:

Click volumes are approximate and may vary based on availability and market conditions.
We do not guarantee specific click-through rates, conversion rates, cost-per-acquisition, earnings per click, or revenue from any traffic delivered.
Traffic quality, geographic distribution, and device composition may vary and are not guaranteed.
Delivery timelines are estimates and may be affected by traffic source availability, campaign approval processes, and market conditions.
The Company reserves the right to change, substitute, or modify traffic sources at any time to optimize campaign performance or adapt to market conditions.

10. Coaching and Support

The coaching program includes scheduled live webinar sessions and email support. We will make reasonable efforts to deliver all scheduled sessions. In the event a session must be rescheduled, participants will be notified in advance. Recordings of all sessions will be made available in the members area. Response times for email support may vary based on volume and are not guaranteed within any specific timeframe.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Verticode Inc., its owners, officers, directors, employees, coaches, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind arising from or related to your use of our services, including but not limited to: lost profits, lost revenue, lost business opportunities, lost data, business interruption, or any financial losses resulting from your campaigns, marketing activities, or business decisions.
The Company shall not be liable for any damages or losses resulting from: changes to third-party platforms, advertising networks, or affiliate networks; account suspensions or terminations by third-party services; fluctuations in traffic quality, conversion rates, or advertiser payouts; technology failures, tracking discrepancies, or service outages by third-party providers; or any other circumstances beyond the Company's reasonable control.
In no event shall the Company's total aggregate liability to you for all claims arising out of or related to these Terms or the AMPS Coaching Program exceed the amount you actually paid to Verticode Inc. for the specific service giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Verticode Inc., its officers, directors, owners, employees, coaches, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to: your use of our services; your marketing campaigns, advertising activities, or business operations; your violation of these Terms; your violation of any applicable law or regulation; your violation of any third-party rights; any content you create, publish, or distribute using our materials or strategies; or any dispute between you and any third party (including but not limited to advertising platforms, affiliate networks, advertisers, or consumers).

13. Dispute Resolution and Arbitration

You agree that any dispute, claim, or controversy arising out of or relating to these Terms, the AMPS Coaching Program, or your relationship with Verticode Inc. shall be resolved through binding individual arbitration administered by JAMS under its Comprehensive Arbitration Rules. You waive any right to participate in a class action, class arbitration, or any other representative proceeding. The arbitration shall take place in San Diego County, California, and the arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees, except where otherwise required by law.

14. Class Action Waiver

YOU AGREE THAT ANY CLAIMS AGAINST VERTICODE INC. SHALL BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You expressly waive any right to file or participate in a class action lawsuit or class arbitration against Verticode Inc.

15. Termination

Verticode Inc. reserves the right to terminate or suspend your access to the program and materials at any time, with or without cause, if we determine that you have violated these Terms. Termination does not entitle you to a refund of any amounts paid.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. To the extent any dispute is not subject to arbitration, it shall be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of such courts.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

18. Entire Agreement

These Terms, together with the Earnings Disclaimer and Privacy Policy, constitute the entire agreement between you and Verticode Inc. regarding the AMPS Coaching Program and supersede all prior agreements, representations, and understandings, whether written or oral.

19. Modifications

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of our services following any changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

20. Acknowledgment

By enrolling in the AMPS Coaching Program, you expressly acknowledge and confirm that:

You have read these Terms of Service in their entirety and understand them.
You understand that no specific income, earnings, or financial results are guaranteed.
You understand that results vary significantly and depend on many factors, most of which are beyond the Company's control.
You accept full responsibility for your own business decisions and financial outcomes.
You will not hold Verticode Inc. or any of its representatives liable for any results or lack of results.
You have not been pressured into this purchase and are enrolling of your own free will.
You understand and agree to the no-refund policy.
You have had the opportunity to seek independent legal counsel before agreeing to these Terms.
